1. Agreement to Terms
Welcome to Worqd. These Terms of Service (“Terms”) constitute a legally binding agreement between you and AIQ Labs (“we,” “us,” or “our”), a company located in Halifax, Nova Scotia, Canada, governing your use of the Worqd platform and services.
By accessing or using Worqd, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the service. You must be at least 18 years old to use Worqd.
2. Description of Service
Worqd is an AI-powered project management and collaboration platform designed for agencies and teams. Our services include:
- Project and task management with multiple view modes (Kanban, List, Table, Timeline)
- AI assistant with natural language interface and 50+ platform tools
- Client portal with secure access and milestone approvals
- Two-way email communication and AI email processing
- Time tracking and budget management
- Automated reporting and scheduled tasks
- Document generation and knowledge base
- Team collaboration features including chat and voice notes
3. Account Registration and Security
To use Worqd, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account
We reserve the right to disable accounts that violate these Terms or remain inactive for extended periods.
4. Subscription and Payment
4.1 Plans and Pricing
Worqd offers subscription plans as described on our pricing page. All fees are stated in US dollars and do not include applicable taxes. We reserve the right to modify pricing with 30 days notice.
4.2 Billing
Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your selected payment method. Failed payments may result in service suspension.
4.3 Cancellation
You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds for partial months. Annual plans can be downgraded to monthly at renewal.
4.4 Free Trial
New users may access a 14-day free trial with full Business plan features. At trial end, you must subscribe to continue using the service or your account will be suspended.
5. Acceptable Use
You agree not to use Worqd to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Transmit malware, viruses, or malicious code
- Attempt to gain unauthorized access to systems or data
- Send spam, unsolicited communications, or harass others
- Mine cryptocurrency or engage in resource-intensive activities unrelated to project management
- Store or process sensitive data requiring HIPAA, PCI-DSS, or similar high-security compliance unless explicitly agreed in writing
6. AI Services and Content
6.1 AI-Generated Content
Worqd's AI assistant generates content including text, documents, and recommendations. You are responsible for reviewing and approving AI-generated content before use. AI outputs should not be considered legal, financial, or professional advice.
6.2 AI Training
We do not use your data to train general AI models. AI memory and context are specific to your workspace and are not shared with other users. You may clear AI memory at any time.
6.3 Third-Party AI Providers
Our AI services leverage third-party providers (OpenAI, Anthropic, Google). Your inputs may be processed by these providers subject to their respective terms and privacy policies. We implement data processing agreements to protect your information.
7. Intellectual Property
7.1 Your Content
You retain ownership of all content you create, upload, or generate using Worqd. You grant us a limited license to host, process, and display your content solely to provide and improve our services.
7.2 Worqd IP
Worqd, the Worqd logo, and all related trademarks, service marks, and trade names are owned by AIQ Labs. The software, code, designs, and functionality of the platform are our proprietary property.
8. Confidentiality and Security
We implement industry-standard security measures to protect your data. However, you acknowledge that:
- No internet transmission is 100% secure
- You are responsible for maintaining password confidentiality
- You must promptly report any suspected security breaches
- Client portal tokens should be treated as sensitive credentials
9. Data Ownership and Export
You own your data. We provide export functionality allowing you to download your project data in standard formats (JSON, CSV, PDF). Upon account termination, you have 30 days to export data before deletion.
10. Termination
We may suspend or terminate your account if you violate these Terms or engage in activities that harm our platform or users. You may terminate your account at any time. Upon termination, your right to use Worqd ceases immediately.
11. Disclaimer of Warranties
WORQD IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIQ LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF WORQD, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS PRIOR TO THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless AIQ Labs and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including attorneys' fees) arising from your use of Worqd, your content, or your violation of these Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Nova Scotia, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Nova Scotia.
15. Changes to Terms
We may modify these Terms at any time. Changes will be effective upon posting to the website. Continued use of Worqd after changes constitutes acceptance. Material changes will be notified via email or platform notice.
16. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements you enter into with AIQ Labs, constitute the entire agreement between you and AIQ Labs regarding Worqd.
